Preamble
It is the will of our Lord Jesus Christ that His Disciples should preach the Gospel to the whole world (Mark 16: 16; Mathew 28:18-20; Acts 1:8). That Christ’s mission for His Church might be carried out according to His will, He has commanded that Christians unite in worship (Hebrews l0:24»25), practice fellowship with one another (Acts 2:42), witness to all men (Acts 1:8), help each other grow in the Word (Ephesians 4:7-16), serve the needs of all " men in Christian love (Ephesians 4:7-16; Mark 10:42-44; John 13:35; Galatians 6:10), administer the Office of the Keys as His Church (John 20:21-23; Matthew 18:15-20), and maintain decency and order (I Corinthians 14:40) in the Church. Therefore, we, a number of Lutheran Christians living in and near Torrington, Wyoming, accept and subscribe to the following Constitution and Bylaws, in accordance with which all spiritual and material affairs of our congregation shall be governed.
Article I: Name
The name of the congregation shall be OUR SAVIOR EVANGELICAL LUTHERAN CHURCH, TORRINGTON, WYOMING.
Article II: Purpose
The purpose of this congregation shall be to bring the Gospel of Jesus Christ to the world, thus seeking the honor and glory of God, carrying out His will, manifesting the unity of our faith in Jesus Christ as God and Savior, spreading the kingdom of God and fostering Christian fellowship and love, by the preaching of the Word of God, by the administration of the Sacraments, and by the religious instruction of all its members, according to the confessional standard of the Evangelical Lutheran Church, thus conforming to the Divine Word of God in doctrine and practice.
Article III: Doctrinal Standard
A. This congregation accepts and acknowledges all the canonical books of the Old and New Testaments as the revealed and inerrant Word of God, verbally inspired, and submits to them as the only infallible authority in all matters of faith and life.
B. This congregation acknowledges and accepts all the confessional writings of the Evangelical Lutheran Church, contained in the Book of Concord of the year 1580, as true and genuine expositions of the doctrines of the Bible. These confessional writings are the three Ecumenical Creeds (Apostles’, Nicene, and Athanasian), the Unaltered Augsburg Confession, the Apology of the Augsburg Confession, the Smalcald Articles, Luther’s Large and Small Catechisms, and the Formula of Concord.

Article IV: Doctrinal Conformity
Only such hymns, prayers, liturgies, and educational materials shall be used in the public services and educational programs of the congregation and in all ministerial acts as conform to the confessional standard of Article III.
Article V: Synodical Affiliation
“Endeavoring to keep the unity of the Spirit in the bond of peace” (Ephesians 4:1-3), this congregation shall join with fellow Christians of other congregations in promoting the unity of faith, providing for the proper training of pastors and teachers and/or other professional church workers, and conducting mission work beyond our parochial limits.

- This congregation shall be affiliated with the Lutheran Church-Missouri Synod as long as the confessions and Constitution of said Synod are in accord with the confessions and Constitution of this congregation as laid down in ARTICLE III;
- We shall send the required delegates to the conferences and conventions of the Synod, and District;
- It shall be the duty of the congregation and its individual members to support the work of Synod, since they thereby support their own Christ-appointed work.
Article VI: Membership
A. Baptized membership in this congregation is held by all those who are baptized in the Name of the Triune God with water and are under our pastoral care.

- Are baptized in the Name of the Triune God with water.
- Have declared their acceptance of the confessions of this congregation as contained in this Constitution.
- While they may be yet deficient in the knowledge of all the Lutheran Symbols, are familiar at least with Luther’s Small Catechism and declare their acceptance thereof.
- Do not live in manifest works of the flesh (Galatians 5:19-21), but lead a Christian life.
- Attend worship services faithfully.
- Together with the congregation partake of the Lord’s Supper with due frequency.
- Permit themselves to be fraternally admonished and corrected when they have erred.
- Are not members of a secret society or of any other organization conflicting with the Word of God and the conduct of a Christian (II Corinthians 6:14-18).
- Have been accepted into communicant membership in accordance with the Bylaws of this congregation.
Article VII: Organization
A. Voting Membership:
This congregation shall be represented by and administer all of its affairs, except as otherwise stated in the Bylaws, through its Voter’s Assembly. Only communicant members, who have qualified according to the membership provisions of the Bylaws, shall be received as Voting Members of this congregation.
B. Administrative Boards:
Responsibility and authority for the daily administration of congregational affairs shall be delegated to the following Boards:

The Church Planning Council shall consist of the Pastor(s), President, Vice President, Secretary, Treasurer and the Directors of the seven Administrative Boards listed in Section B of this Article. They shall hold a position on the Church Planning Council by virtue of their call or election by the Voting Members of the congregation so long as their term of office continues.
E. Rights and Powers:
This congregation, subject to the limiting provisions and regulations of this Constitution and its associated Bylaws, shall have supreme power in the administration of its affairs. No duly elected officer of this congregation shall have any power or authority beyond that conferred upon them by the congregation acting through its Voter’s Assembly. Each Administrative Board, along with the Church Planning Council, shall be responsible for the performance of such duties as the Voter’s Assembly may delegate to them by special resolution. Such specially delegated rights and powers, both officers and Administrative Boards, shall be subject to revision or complete withdrawal by the Voter’s Assembly at its discretion.

Article VIII: Pastoral Office
Only such candidates shall be called and elected to serve in the Pastoral Office, or any of its auxiliaries, i.e. Parochial Teacher, D.C.E., Lay Minister, etc., who profess acceptance of, and pledge faithful adherence to, the confessions of this congregation as set forth in ARTICLE III of this Constitution, and have been properly certified by the Lutheran Church-Missouri Synod. The term Pastor(s), when used throughout this Constitution and associated Bylaws, shall mean a properly Ordained Minister and the term Auxiliary Worker shall mean a properly Commissioned Worker.
In the absence of adequate cause for dismissal, as defined in the Bylaws of this congregation, the tenure of office of a called or elected Pastor or Auxiliary Worker shall be the remainder of their active life or until the Lord calls them into another field of service.

Article IX: Societies
Societies may be organized in the congregation only with the express approval of the Voter’s Assembly, and all such societies shall be under the supervision of the Pastor(s) and the appropriate Board under whose jurisdiction they function. The Lutheran Youth Fellowship (LYF) group will function independently under the direct guidance and oversight of the adult leaders/sponsors and the Pastor.
Only communicant members of this congregation shall be officers of such societies or groups. Any decisions, enactment or performance of or by societies or groups shall be invalid if they conflict with this Constitution and its Bylaws. The Pastor(s), by virtue of his office, shall be the advisor for such societies or groups within the congregation.

Article X: Property Rights
If, at any time, a separation should take place within this congregation, the advice of the officers of District and Synod shall be sought. If, despite all efforts to compose differences in peace and love, a division into factions of the congregation shall occur, the property of the congregation and all benefits therewith connected shall remain with those members who continue to adhere in confession and practice to ARTICLES III, V, VI and VIII of this Constitution.
Article XI: Validity of Resolutions
All congregational matters shall be decided by a simple majority vote of the voting members present at a properly convened meeting of the Voter’s Assembly except as otherwise provided in this Constitution and its associated Bylaws for dealing with certain situations or matters therein specifically mentioned and defined.
Article XII: Amendments
Amendments to the provisions of this Constitution shall be submitted in writing at a properly convened meeting of the Voter’s Assembly and announced to the congregation by public posting two weeks prior to the meeting at which the proposed amendment will be acted upon. A two-thirds affirmative vote of the voters present shall be required for adoption. Amendments may be presented for adoption provided that;
- Amendments to Articles III, IV, V and VIII shall not destroy their essential meaning.
- The revised Constitution shall first be submitted to the president of the district for review and approval by the district’s constitution committee before being placed into practice by the congregation.
- Notice that action will be taken on proposed amendments shall be provided to all voting members two weeks prior to the voter’s meeting when the proposed action will be discussed and a vote taken.
BYLAWS
Article I: Communicant Membership
Section 1. Application Procedure for Membership
Applicants for communicant membership in this congregation shall consult the Pastor who shall determine, together with the Board of Elders, whether such applicants are eligible for membership in accordance with ARTICLE VI of the Constitution. Applicants not familiar with the doctrines and confessions of the Lutheran Church (ARTICLE III of the Constitution), shall be required to attend a course of instruction, and to make profession of their faith either before the congregation or at the Pastor’s discretion, before witnesses who are members of the Board of Elders, before being received as members.
Applicants from other Evangelical Lutheran Churches with which this Congregation is in Altar & Pulpit Fellowship shall submit a letter of transfer from their former congregation to establish their eligibility for membership. In the case of applicants whose previous membership in a Lutheran congregation has lapsed, the Pastor may, with the consent of the Board of Elders, arrange for a period of reinstruction prior to reaffirmation of faith for such applicant.
After applicants have given satisfactory evidence of their eligibility in accordance with the two preceding paragraphs, their admission as communicant members shall be recommended by the Pastor to the Board of Elders which shall have the authority to act on such application in behalf of the Voter’s Assembly. The roster of new members shall be publicized in the various news media of the congregation.
Section 2. Privileges and Duties of Communicant Members
It shall be the privilege and duty of members of this congregation to:
Grow in the Christian faith and life through faithful use of the means of grace, searching the Scriptures at home and in fellowship with other members of the congregation and its agencies, and partaking of the Lord’s Supper frequently. Live a morally decent life before God and men, abstaining from open works of the flesh (Galatians 5: 18-21), and so conducting themselves at all times as to bring credit rather than blame upon the Church of Jesus Christ.
Provide for the proper Christian training of their children by instruction at home and through the agencies of the Church. Contribute toward the maintenance of the congregation and the extension of the Kingdom of God at home and abroad to the limit of their financial ability. Place their God given talents and abilities at the disposal of the Pastor(s), the officers, and other agencies of the congregation as set forth in its Constitution and Bylaws, so that the purpose and functions of the congregation may be effectively implemented.

Upon affirmation by the applicant of their intention to fulfill such duties as are required of a voting member to the best of their ability, they shall be accepted as a voting member with all the rights and privileges pertaining thereto and will be eligible to vote at the next Voter’s Assembly meeting. They shall be required to sign the official copy of the Constitution and Bylaws of the Congregation at the time of acceptance into Voting Membership.

Faithfully attend the meetings of the Voter’s Assembly, conscientiously and prayerfully exercise their right of suffrage in all measures that will advance the work of Christ’s Kingdom both locally and in the Church at-large, and by failing to attend a meeting, a member waives the right of casting their vote during such meeting. Willingly serve in any office or capacity for which they are eligible (By-Law, ARTICLE VI), and for which their talents and abilities equip them. Assist with wholehearted diligence in administering the temporal and spiritual affairs of the congregation. Encourage, by personal example, friendly interest, and judicious counsel, such eligible communicant members who are not yet voting members to consider seriously accepting the responsibilities and privileges of Voting Membership.

Article III: Discipline in the Congregation
All discipline in this congregation shall be administered in accordance with the order of discipline laid down in Matthew 18:15-20, I Corinthians 5:1-5, and other related New Testament passages. The following procedure shall be followed under the direction of the Pastor(s) and Board of Elders.
Section 1. Membership - Termination
Any officer or director of the congregation who willfully neglects the duties of their office may be deposed by a 2/3rds majority vote of the voting members present in a regular meeting of the Voter’s Assembly. The Board of Elders shall initiate such disciplinary action. When an office or administrative board directorate is made vacant by deposition, resignation, death or excommunication of the incumbent, a successor to such officer or administrative board director shall be appointed by the President and ratified by the Voter’s Assembly at the next meeting. Should such officer be the President, the Voter’s Assembly will appoint a successor at the next regularly scheduled voter’s meeting. An officer will submit their resignation in writing to the Voter's Assembly with a copy to the Board of Elders and Pastor. Resignations by directors will be submitted in writing to the president with a copy provided to the pastor. Board member resignations will be submitted in writing to the director of that board. The director of any administrative board, with the exception of the Board of Elders, may appoint a successor within their board as the need arises. Any midterm vacancy on the Board of Elders will be filled by the Voter’s Assembly from a list submitted by the Pastor and remaining Elder board members, at a regularly scheduled voter’s meeting. Any midterm successor to an elected position will be eligible to succeed themselves for an additional two full terms. Board members may serve on multiple boards but Board Directors may be the director of only one board. Officers of the congregation should only serve in that office except as outlined in other sections of the Bylaws and/or as needed and provided for by the Voter’s Assembly.
Section 3. Provisions Pertaining to the Pastoral Office or its Auxiliaries
Sufficient grounds for deposing a pastor or duly called auxiliary worker shall be persistent adherence to false doctrine, scandalous life, willful neglect of official duties, or evident and protracted incapacity to perform the function of the sacred office. Charges of any of these counts shall be carefully investigated by the Board of Elders. Should such charges be substantiated by clear evidence, the individual involved shall first be given an opportunity to resign his position in the congregation. Such opportunity having been given and declined, the above mentioned Board shall, after consultation with the appropriate officers of the Wyoming District, notify the Voter’s Assembly of the situation, and shall submit the matter for action at a regularly scheduled or special meeting of that body. A 3/4ths majority vote of the voting members present shall be required to depose a pastor or auxiliary worker. Should the occasion to depose a pastor or auxiliary worker ever arise, the intended deposition shall be announced by the Director of the Board of Elders at regular divine services on the two Sundays preceding a regularly scheduled or special meeting of the Voter’s Assembly called for that purpose. All voting members shall be notified at least two weeks in advance.
Section 1. Membership - Termination
- Transfers: A member desiring transfer to another Lutheran congregation, with whom we are in fellowship, shall apply to the Pastor. Upon approval by the Pastor and the Board of Elders, a letter of transfer shall be issued by the Pastor. The Board of Elders shall report all transfers to the congregation via church publications and to the Voter’s Assembly at the next regular meeting of that body.
- Joining Other Churches: In cases where communicant members of this congregation have requested a release and/or joined a church with which we are not in fellowship, they shall, upon the decision of the Pastor(s) and the Board of Elders, be granted a release and/or deemed to have terminated their membership in this congregation, forfeiting all rights and privileges of such membership. Their name(s) shall be removed from the membership list of the congregation.
- Whereabouts Unknown: Members, whose whereabouts are unknown and cannot be established, shall be removed from the membership list of the congregation by action initiated by the Board of Elders. Such membership is terminated and shall be reported as such to the next regular meeting of the Voter’s Assembly.
- Self -Exclusion: When a member of Our Savior Evangelical Lutheran Church has not attended worship or communed for an extended period of time as observed and monitored by the Pastor(s) and Board of Elders and after fruitless admonition in the various grades prescribed by the Word of God (Matt. 18:15-20), where the observance of such grades has been possible, will have excluded themselves and shall be removed from communicant membership by action initiated by the Board of Elders. The individual shall be notified, if possible, of such action and shall be declared to have excluded themselves from this Christian congregation. Such self-exclusion releases the individual from all responsibilities to this congregation, but it also excludes the member from the privileges of membership, such as Christian burial, Holy Communion, transfer to a sister congregation, and of any claim against the properties of this congregation. SUCH A PERSON, HOWEVER, WILL AT ALL TIMES BE CORDIALLY WELCOME TO ATTEND ALL DIVINE SERVICES IN OUR CHURCH.
- Excommunication: Excommunication is to be applied to any member who conducts himself in a unchristian manner, i.e., to one who openly adheres to false doctrine, gives evidence of an immoral and offensive life, or willfully despises the preaching of the Gospel and the Lord’s Supper. The steps of church discipline shall be administered through the Pastoral office and Board of Elders in behalf of the congregation. A 3/4ths majority of the voting members present at a regular Voter’s Assembly meeting shall be required for Excommunication.
- Restoration: Persons who have been removed from membership, for whatever reason, shall be restored with all rights and privileges when they repent and ask for forgiveness through the Pastor(s) and the Board of Elders. Both acts of discipline and restoration shall be made known to all communicant members by whatever method the Pastor(s) and the Board of Elders deem most suitable.

Section 3. Provisions Pertaining to the Pastoral Office or its Auxiliaries
Sufficient grounds for deposing a pastor or duly called auxiliary worker shall be persistent adherence to false doctrine, scandalous life, willful neglect of official duties, or evident and protracted incapacity to perform the function of the sacred office. Charges of any of these counts shall be carefully investigated by the Board of Elders. Should such charges be substantiated by clear evidence, the individual involved shall first be given an opportunity to resign his position in the congregation. Such opportunity having been given and declined, the above mentioned Board shall, after consultation with the appropriate officers of the Wyoming District, notify the Voter’s Assembly of the situation, and shall submit the matter for action at a regularly scheduled or special meeting of that body. A 3/4ths majority vote of the voting members present shall be required to depose a pastor or auxiliary worker. Should the occasion to depose a pastor or auxiliary worker ever arise, the intended deposition shall be announced by the Director of the Board of Elders at regular divine services on the two Sundays preceding a regularly scheduled or special meeting of the Voter’s Assembly called for that purpose. All voting members shall be notified at least two weeks in advance.
Article IV: Meetings of the Congregation
Section 1. Regular Meetings
Regular meetings of the Voter’s Assembly shall be held five (5) times during each calendar year in the following months: January, March, May, August, and November. Should it be an election year, the March and May meetings should be held during the first full week of the month. Dates and times of all Voters' Assembly meetings shall be set by the President. The last Voter's meeting in the current fiscal year, may include the consideration and acceptance of the budget. Final budget approval may be done by way of a special voter’s meeting after all fiscal year expenses are recorded. All communicant members of the congregation may attend the meetings of the Voter’s Assembly and may, with the consent of the Voter’s Assembly submit recommendations, or participate in a discussion of any given item of business before the Voter’s Assembly. Notification of every meeting of the Voter’s Assembly shall be by written or spoken announcement at a worship service at least one week preceding the date of the meeting.
Section 2. Special Meetings
Special meetings of the Voter’s Assembly may be called by the President, the Board of Elders, and the Pastor(s) or at the request of any one of the Administrative Boards. Notice of the date and time of such a meeting, and of the nature of the business to be transacted, shall be given at the Sunday worship services immediately preceding the time of the meeting. If the business conducted at the called special meeting cannot be completed, a continuation meeting maybe scheduled.
Section 3. Order of Business at Regular Meetings
Regular meetings of the Voter’s Assembly shall proceed as follows:
The President may, with the consent of the Voter’s Assembly, vary the above order in the interests of efficiency. In general, for the purposes of order, Robert’s "Rules of Order" shall prevail.
Section 4. Restrictions Pertaining to Voter’s Assembly Meetings
All voting members present at a properly called meeting shall constitute a quorum, except as otherwise provided in the Constitution and these Bylaws for dealing with certain specific situations herein defined. In the event of a tie vote, the President shall cast the deciding ballot. There shall be no voting by proxy or absentee voting.
Regular meetings of the Voter’s Assembly shall be held five (5) times during each calendar year in the following months: January, March, May, August, and November. After consultation by the Board of Elders with the president of the Wyoming District or his representative, every member of the congregation shall be given the privilege of submitting the names of candidates for the pastoral office or its auxiliaries. The congregation shall also ask the District President for additional recommendations. In case of a Pastoral Call, the Board of Elders shall serve as the call committee. In case of a Teacher/Educational Call, the Board of Education shall serve such function. After names have been received from the congregation, all nominations received shall be submitted to the District President for review and information. After receiving such review and information from the District President, the list of nominations, together with a biographical sketch of each, shall be made available on multiple occasions for review and study by the congregation. At a scheduled Voter’s Assembly meeting, or at a special Voter’s Assembly meeting called for the purpose of Calling a Pastor or Auxiliary Worker, the voters will adopt the submitted call list and the respective board (Elder/Education) shall present its preferred candidates. From the call list as adopted, giving consideration to the recommendations by the respective board, the Voters shall elect, by ballot and simple majority, a candidate for the Pastoral Office or it’s auxiliary. The election shall, if possible, be made unanimous by the Voters. It shall be the duty of the President to see that notice of election is delivered promptly to the candidate in whatever manner the Voter’s Assembly and/or District Representative shall deem advisable.

The Pastoral Office is the primary office in the congregation from which all other offices of the congregation issue. However, the congregation may establish as many auxiliary offices as its needs require and determine what work is to be assigned to such offices. Upon being installed the pastor(s) is authorized and obligated to proclaim to the congregation the Word of God in its full truth and purity as contained in the canonical writings of the Old and New Testaments and professed in the Book of Concord of the year 1580. He is further:

- To administer the sacraments in accordance with their divine institution;
- To discharge toward all members of the congregation the functions of a minister and curate of their souls in an evangelical manner, in particular to visit the sick and the dying and admonish indifferent and erring members;
- To spiritually guard the welfare of the younger members of the congregation and adults during their preparation for acceptance of Holy Communion;
- To guide the congregation in applying the divinely ordained discipline of the church:
- To provide spiritual leadership and oversight in the educational agencies and the various adult and youth organizations within the congregation;
- To serve as an example by Christian conduct and to do all that is possible for the up building of the congregation and for the advancement of the Kingdom of Christ.
Article VI: Election of Officers and Administrative Boards
Section l. Nomination Procedure
At the January meeting of the Voter’s Assembly in an election year (odd years, i.e. 2011, 2013 etc.), the President shall announce his selection of three (3) qualified voting members who, together with the Pastor, President and a member of the Board of Elders, shall serve as the Nominating Committee. At this meeting, the Voters may submit to the Committee the names of possible candidates for office. The Nominating Committee, as soon as possible, shall prepare a list of candidates drawn from among the communicant members of the congregation who are 18 years of age or over, either male or female, and from the list submitted by the Voters at the January meeting. This list shall then be made available to the communicant members of the congregation at least three weeks prior to the May meeting. Only male candidates shall be eligible for membership on the Board of Elders, or the positions of President and Vice President. All officers, Board Directors, and all members of the Board of Elders, MUST be Voting Members. Following the publication of the Nominating Committee’s list, any communicant member of the congregation may submit to the Committee additional names for inclusion on the list, and such names shall be placed in nomination by the Committee along with the candidates already chosen, provided:

From the list of candidates for each elective position submitted by the Nominating Committee, the Voter’s Assembly shall, at its May meeting, elect by ballot and simple majority, the following offices in the order herein indicated:
In the event that Board members, to the number specified in the Bylaws (Articles X – XVI), are not nominated or elected, they may be appointed by each of the newly elected Administrative Board Directors in consultation with and assistance from the Nominations Committee. These appointments will be reported at the August Voter’s meeting.
Section 3. Installation of Officers and Term of Office
The newly elected officers and Board members of the congregation shall be installed by the last Sunday in May, and shall assume their duties of office as of June 1st. The term of office of all Officers, Directors and Board members shall be two years, terminating on May 3lst of the second year of their terms. Officers and Directors may succeed themselves in the same directorate or office only once unless waived by the Voter's Assembly. Administrative board members can serve an unlimited number of terms. In order to maintain continuity of operations or in the absence, for whatever reason, of willing and qualified applicants, the Voter’s Assembly can waive officer and board director term limits. The voters may appoint another qualified Treasurer as an assistant to the elected Treasurer to help fulfill the duties or in the case of a prolonged absence of the elected Treasurer.

The Nominating Committee, at least one week before the date of the May meeting, shall publish in the Sunday service bulletin a list of candidates for the following offices: President; Vice President; Secretary; Treasurer; all Board Directors and board members.
Section 2. Election Procedure
From the list of candidates for each elective position submitted by the Nominating Committee, the Voter’s Assembly shall, at its May meeting, elect by ballot and simple majority, the following offices in the order herein indicated:
- President
- Vice President
- Secretary
- Treasurer
- Seven Directors specifically nominated for the directorship of each of the following Boards: Elders, Evangelism, Christian Education, Stewardship, Church Properties, Fellowship and Public Relations, Finance.
- Board Members, to the number required to complete the membership of each of the Administrative Boards.
In the event that Board members, to the number specified in the Bylaws (Articles X – XVI), are not nominated or elected, they may be appointed by each of the newly elected Administrative Board Directors in consultation with and assistance from the Nominations Committee. These appointments will be reported at the August Voter’s meeting.

He shall prepare the agenda for the five (5) meetings of the Voter’s Assembly, set the dates and times for the Voter’s Assembly meetings, appoint the Nominating Committee as required in Article VI, Section 1 of these Bylaws. When necessary, should shortages exist, he will appoint replacements of other officers and administrative board directors with ratification by the Voters at the next Voter’s Assembly meeting.
At the January Voter’s Assembly meeting in each year, the President shall appoint a Financial Review Committee consisting of any two qualified communicant members of the congregation other than the Treasurer(s) and Director of the Board of Finance, whom together with the Board of Finance will examine the financial records of the congregation. The President shall submit the Committee’s Report at the March meeting of the Voter’s Assembly in each year. Together with the Treasurer and members of the Board of Church Properties, the President can sign contracts and documents that have been negotiated and approved by the congregation.
Section 2. Vice President
The Vice President of the congregation, in the absence of the President, shall act for and in the stead of the President. He shall be available for whatever duties the President shall assign to him as his representative.
Section 3. Secretary
The Secretary shall be present at all Voter’s and Church Planning Council meetings of the congregation and shall enter the minutes of all meetings of said groups in a permanent record book over their signature. Together with the office secretary, they shall conduct all official correspondence of the congregational Boards and committees under the supervision of the President. In general, they shall perform all the duties normally pertaining to this office and such additional duties as the Voter’s Assembly may delegate to them.
Section 4. Treasurer

Section 4. Treasurer
The Treasurer:
- Shall be responsible for monthly remission of offerings for missions and church agencies and for prompt payment of salaries and bills authorized by the congregation or the Boards and Directors as duly constituted sources.
- Shall coordinate the flow of monies from the treasury to the various Boards in such a way that an adequate balance is retained for the payment of salaries and other regularly recurring expenses. ·
- Shall reimburse to the professional workers of the church for documented expenses while attending professional workshops, conferences, conventions, etc. approved by the Board under whose jurisdiction they function.
- Shall sign all checks for payment of bills, salaries, or other financial commitments of the congregation of any sort.
- Responsible for the prompt and accurate disbursement of monthly or quarterly submission of funds to the Internal Revenue Service for all required taxes and withholdings for salaried workers.
- Shall report to salaried workers of the congregation, as required by the IRS, a breakdown of the worker’s total compensation as to salary and fringe benefits. Select a local accounting firm to assist with this process.
- Together with the Board of Finance, review all bank statements and offering reports to insure that offerings are properly posted.
- Be responsible for accurate recording of congregational receipts and disbursements and budgeted and actual expenditures according to proper accounting procedures and, as deemed advisable, shall suggest for congregational consideration improved methods and systems for keeping financial records.
- Present regular printed financial report to Board Directors and current printed reports to the Voters meetings.
- Be available to assist the Financial Review Committee in the conduct of their annual review.
- Together with the President and members of the Board of Church Properties, the Treasurer can sign contracts and documents that have been negotiated and approved by the congregation.
13. Maintain on hand a current copy of the Synod Treasurer's Manual as a reference.
Article VIII: Church Planning Council
The Church Planning Council shall consist of the President, the Vice President, the Secretary, the Treasurer, the seven Directors of the Boards, and the Pastor(s) of the congregation, all of whom will hold membership on the Church Planning Council until their term of office expires. It shall be the specific functions of the Church Planning Council to:
The Church Planning Council is not primarily a decision making body, except that it may, in circumstances of urgent necessity occurring between regularly scheduled meetings of the voter’s assembly, administer the affairs of the congregation subject to ratification by the Voter’s Assembly. It serves as a forum where the goals and activities of the Boards may be discussed, evaluated, and coordinated, and where all such goals and activities may be integrated into the overall congregational program. The Church Planning Council shall be available at all times, however, for additional functions which the Voter’s Assembly may wish to confer upon it. The Church Planning Council shall keep a permanent set of minutes for each meeting and such shall be the property of the congregation.
- Serve as the point of liaison between the Pastor(s), the Officers of the congregation, and the various Boards in planning the total work of the congregation.
- Coordinate a plan of activity for the next year and for the entire congregation as well as long range plans for the development and expansion of Christ’s work in our midst.
The Church Planning Council is not primarily a decision making body, except that it may, in circumstances of urgent necessity occurring between regularly scheduled meetings of the voter’s assembly, administer the affairs of the congregation subject to ratification by the Voter’s Assembly. It serves as a forum where the goals and activities of the Boards may be discussed, evaluated, and coordinated, and where all such goals and activities may be integrated into the overall congregational program. The Church Planning Council shall be available at all times, however, for additional functions which the Voter’s Assembly may wish to confer upon it. The Church Planning Council shall keep a permanent set of minutes for each meeting and such shall be the property of the congregation.

Each Administrative Board shall initiate and carry out such activities and programs within the congregation as will enable it to effectively perform the functions and duties assigned to it by the Constitution and these Bylaws, or by specific resolution of the Voter’s Assembly.
Each Administrative Board shall be empowered to administer all funds set aside for its work by budget appropriation or by special resolution of the Voter’s Assembly, provided that the Voter’s Assembly may, at its discretion, restrict such expenditures to conform with the actual financial condition of the congregation at any given time. Each Administrative Board shall be responsible for all expenditures not authorized either by the budget or by special resolution of the congregation. Each Administrative Board shall keep a permanent set of minutes for each meeting, and such minutes shall be the property of the congregation.

Following the election of the Director of each Board and the number of Board members required, the Director of the all Boards shall designate and appoint from among the Board members, at their discretion, those individuals who are to be responsible for various phases of the work of that Board. Each Director may appoint a co-director to act in their absence and a secretary to keep minutes. Such appointments are to be made by August each year, and notification of such appointments is to be given to the President of the Congregation for publication to the members in the manner he deems most advisable.

Article X: The Board of Elders
The nature of the duties of this Board requires that only men noted for their Christian knowledge, zeal and experience in the spiritual work of the Kingdom of Christ shall be elected to membership. - Pray for and encourage the Pastor and other spiritual leaders in their work by word and action.
- Be concerned about the spiritual, emotional and physical health and welfare of the Pastor and his family (adequate compensation, housing, free time, vacation, assistance in times of illness), and to that end specifically review these items once a year.
- Assist the Pastor in counseling with difficult cases and in finding peaceful and God pleasing solutions to personal problems within the congregation.
- Review yearly the salary and performance of the Church Office Secretary or in case of vacancy, interview and hire a replacement in conjunction with the Pastor.
- Exercise leadership and function as the Call Committee in calling a new Pastor when a vacancy occurs.
- Maintain discipline within the congregation according to Scripture, the Lutheran Confessions and ARTICLE VI of the Constitution and ARTICLE III of the Bylaws of this congregation and assist the Pastor in exercising discipline when required. Insure that the congregation functions in accordance with the established doctrine of the Church as listed in ARTICLE III of the Constitution.
- Assist Pastor in exercising spiritual oversight of the care groups assigned to them.
- Determine eligibility for membership of all individuals and families applying for membership in this congregation according to ARTICLE VI of the Constitution and ARTICLE I of the Bylaws.
- See to the prompt transfer of all members who move away and of new Lutheran families moving into the community.
- Engage in member conservation and discipleship training in conjunction with the Board of Evangelism and the Board of Stewardship.
- Engage in continual review of communion and church attendance of all members, make calls on delinquents, and follow up an all newborn children in the congregation until they are baptized.
- Assist the Pastor(s) in visitation of all sick, hospitalized, aged, and shut-ins in the congregation.
- Assist Pastor in investigating cases of severe financial needs of members within the congregation and take appropriate action.
- Be concerned about and assist in providing thorough instruction of youth and adults for confirmation and church membership in accordance with the policies and aims of the congregation through the Board of Christian Education.
- Be responsible for a friendly personal welcome of visitors at worship and for orientation and integration of new members in conjunction with the Boards of Evangelism and Fellowship.
- Be present for periodic training as determined by the Pastor and this Board.
- Assist in coordinating the work of the Lutheran Women’s Missionary League, with the goals and activities of the congregation.
- Assist pastor in oversight of the spiritual programs within the boards and organizations of the congregation.
- Submit an annual budget request in the form and at the time requested by the Board of Finance.
For the worship of the congregation:
- Assist the Pastor in providing for the organists, vicars, assistants, substitute pastors and guest speakers as needed.
- Train and coordinate the ushering staff.
- Assist the Pastor with communion distribution, reading of Scripture, and/or sermon, etc., as required.
- Set the time, schedule and number of communion services in conjunction with the Pastor and the Voter’s Assembly.
- Assist the Pastor in evaluating new forms of worship, liturgies, and hymns for use by the congregation and/or choirs in public worship. Assist in planning and publicizing the services for the year.
- Assist the Pastor with the Altar Guild in the care, use and maintenance of the sacred vessels, the altar, the altar furnishings, chancel decorations and vestments as well as maintaining an adequate supply of expendable items for worship such as communion wine and wafers, baptismal napkins, candles, etc.
- Provide a budgeted allotment for the selection and procurement of appropriate music, choirs, special services and the general needs of the congregation. Recommend and annually review compensation and personnel for the music staff as required for public worship.
Article XI: The Board of Evangelism
The board of Evangelism shall consist of at least three (3) and no more than five (5) members, including the elected Director of the Board.
The basic objectives of this Board are the bringing of the Gospel to the unchurched, the enlistment of all of God’s people in the work of spreading the Gospel, the deepening of the faith and activity of the members of this congregation, and proper soul accounting at all times.
That the objectives of this Board may be carried out, the Board, either corporately or through specifically designated individuals, shall:
The basic objectives of this Board are the bringing of the Gospel to the unchurched, the enlistment of all of God’s people in the work of spreading the Gospel, the deepening of the faith and activity of the members of this congregation, and proper soul accounting at all times.
That the objectives of this Board may be carried out, the Board, either corporately or through specifically designated individuals, shall:
- Share with the Pastor in proclaiming the Gospel to all people.
- Encourage prayer in church and homes for sincere evangelistic concern toward all people inside and outside the Church.
- Together with the Pastor, foster a climate of evangelism that encourages congregation members informally and spontaneously to share Christ with one another and the unsaved.
- Plan, coordinate and execute a program for the reception, orientation and integration of new members into the congregation through Worship, Bible studies, Societies, Auxiliaries, service opportunities, and the like.
- Together with the Pastor, identify and implement spiritual services and care to hospitals, homes for the aged, prisons, and other institutions within the community as opportunities arise.
- Strive to continually emphasize Evangelism education and training throughout the Congregation.
- Maintain an ongoing visitation program offering people more than membership in a church - a saving relationship with Christ.
- Promote and coordinate congregation-wide evangelism undertakings.
- Utilize the evangelism potential of The Lutheran Hour and other synodical or Christian programs throughout the community.
- Assist in coordinating evangelism and evangelism programs in the societies and auxiliary organizations of the congregation and suggest projects for such organizations.
- Assist in coordinating, in conjunction with the Board of Christian Education, child and youth evangelism, both in participation and outreach.
- Be responsible for maintenance and follow-up of a visitor and prospect file at all times.
- Before organization of Pastor’s instruction classes, conduct special visitations to witness for Christ and to invite prospective members to attend.
- Periodically sponsor dinners, fellowship nights, special receptions, etc., assisted by the Boards of Fellowship/Public Relations and Stewardship, which will serve the cultivation, reception, orientation, and integration of new families or individuals.
- Be conscious of the atmosphere of friendliness in the congregation toward members and visitors and suggest ways and means of improvement.
- Study and adapt suggestions by the evangelism departments of Synod, District and circuit.
- Annually evaluate the goals and activities of the congregation with the work and activities of the board.
- Submit an annual budget request in the form and at the time requested by the Board of Finance.
Article XII: The Board of Christian Education
The Board of Christian Education shall consist of at least four (4) and no more than six (6) members, including the elected Director of the Board.
The basic objectives of this Board are to assist in planning and administer the educational program of the congregation, determining policies, selecting personnel for the various agencies, providing the necessary means and facilities for the agencies, directing and supervising the educational program of the congregation. - Be responsible for the Christian nurture of children, youth, and adults in the congregation and, through them, in the community and beyond.
- Establish objectives, set policies for, and coordinate the education programs for each education agency in the congregation, including the personnel; i.e., Sunday school, Weekday School, Vacation Bible School, confirmation class, Bible classes (with guidance from Pastor and/or Elders), and all other educational groups.
- Together with the Preschool Director (s), shall assist Pastor(s) in oversight and functional operations guidance, including budget and salary, of the Christian Preschool.
- Provide for active expression of Christian love and concern as an integral part of the education program.
- Review and recommend curriculum and analyze performance of each education agency and seek constant improvement.
- Continually review existing agencies to determine whether all age groups are being served, and recommend revisions and additions as deemed advisable.
- Make annual analysis, by age groups, to determine the degree of participation of the membership of the congregation in its educational program.
- Maintain a "people accounting system" to record members’ participation in the education program and to encourage participation of all members,
- Be concerned, together with the Board of Evangelism for the assimilation of newly confirmed youth into appropriate agencies for study and activity.
- Work with organizations and other Boards and committees to coordinate educational activities within the congregation.
- Provide, in conjunction with the Board of Evangelism, for the recruitment of pupils for the educational agencies of the Church.
- Encourage increasing participation of every congregation member in Bible Study,
- Delegate administration of education agencies to qualified persons.
- Exercise leadership in gathering lists of candidates for vacancies in the teaching staff and enlist, train, place and continue to train any teachers and leaders as the congregation’s needs require.
- Establish a system of commendation for and recognition of faithful service by all persons involved in the educational task of the congregation.
- Strengthen families as basic units of Christian education and closely relate congregational agencies to the homes through parent-teacher organizations, conferences, etc.
- Encourage Christian education programs in societies of the congregation.
- Consider special classes, courses, conferences, retreats, and the like for special purposes and for special groups.
- Consider provision for special education opportunities for mentally and physically handicapped persons.
- Provide for the professional growth of the educational staff through conferences, conventions, continuing education and the like, and request the necessary funds for the same in the yearly budget.
- Maintain, improve and cultivate the use of a church library.
- Provide for and promote the use of technology in Christian education.
- Provide and/or promote subscriptions to church periodicals.
- Study and adopt or adapt helps suggested by the education departments of Synod, District, and circuit.
- Establish and maintain, in conjunction with other Boards, a continuing program for the recruitment of full-time workers in the church-at-large such as pastors, teachers, deaconesses, and the like.
- Establish and maintain a permanent file of all children and youth of the congregation by age, grade level, and the like and see to it that such a file is kept continually up to date. Example: Cradle Roll.
- Annually examine the education facilities and equipment, and make recommendations to the Board of Church Properties as to safety, upkeep, repairs and replacements needed as well as new equipment needed.
- Submit an annual budget request in the form and at the time requested by the Board of Finance.

The Board of Stewardship shall consist of at least three (3) and no more than five (5) members, including the elected Director of the Board.
The basic objectives of this Board are to assist in initiating programs for the development of good stewardship attitudes in the members of the congregation in regard to time, talents, and treasures, providing for the training and utilization of members of the congregation for the work of Christ’s Kingdom, and ensuring the financial stability of the congregation and its work through a developed program of dedicated, proportionate, first fruits giving. That the objectives of this Board may be carried out, the Board, either corporately or through specifically designated individuals, shall:
The basic objectives of this Board are to assist in initiating programs for the development of good stewardship attitudes in the members of the congregation in regard to time, talents, and treasures, providing for the training and utilization of members of the congregation for the work of Christ’s Kingdom, and ensuring the financial stability of the congregation and its work through a developed program of dedicated, proportionate, first fruits giving. That the objectives of this Board may be carried out, the Board, either corporately or through specifically designated individuals, shall:
- Study the Scriptural principles regarding the total stewardship calling of the Christian as a member of his family, as a neighbor and citizen, and as a congregation member and share these insights with congregation members. Encourage members of the congregation in discovering and enlisting for Kingdom service, the many gifts and talents God has given to each as well as joyous, worshipful, liberal, and proportionate first fruits giving in response to received blessings and recognized needs.
- Assist the Board of Evangelism in their mission of the reception, orientation and integration of new members into the congregation.
- Be responsible for maintenance of a congregational talent file at all times, and provide for the immediate recording of the talents and abilities of incoming members.
- Strive to continually emphasize stewardship education and training throughout the Congregation. Encourage stewardship programs in the societies and auxiliaries of the congregation.
- Plan, recommend and execute a program of support for missions and charities (financial gifts, clothing drives, kiddie kits, and the like) through the various agencies and committees of the congregation.
- Annually prepare and submit as part of the budget process of this Board, a selected list of charities for the congregation and suggest the source of revenue designated for that purpose. Submit the annual budget request in the form and at the time requested by the Board of Finance.
- Evaluate and make recommendations for endowments, memorials, remembrance of the congregation in wills, bequests, and the like, and suggest ways of implementation within the congregation.
- Promote and encourage all people of the congregation for full time service in the church as pastors, teachers, and the like.
Article XIV: The Board of Finance
The Board of Finance shall consist of at least four (4) and no more than six (6) members, including the elected Director of the Board. The Treasurer (s) of the Congregation shall also serve as a member of this board. The basic objectives of this Board are to provide the congregation a plan for fiscal responsibility through logical coordination of all monies flowing to and through the congregation.

- Recruit, train, schedule and oversee a separate pool of volunteers to promptly secure, count, deposit, enter and post all offerings received by the congregation. Maintain a reference binder of procedures. To avoid a conflict of interest, the Treasurer shall not serve as a counter.
- Together with the Treasurer (s), continuously oversee, evaluate and modify, if needed, all financial processes and procedures used by the congregation. Conduct monthly reconciliations and reviews of all accounting transactions.
- Evaluate the offerings versus expenses and budget execution of the congregation regularly, and share these evaluations with the voter's assembly.
- Provide financial data reports to board directors and committee chairman as needed and at each voter's assembly meeting. Share financial data information with the voters at each regularly scheduled voter's meeting.
- Submit an annual budget request of all boards, and coordinate these requests into a written annual budget proposal for the congregation. This proposed budget shall be presented to the voters for review and approval.
- Responsible for issuance of offering summary statements to members. Perform an annual, or as needed, review and update of the contributors list and fund list within the accounting software.
- Together with the treasurer, perform end of fiscal year financial closeout procedures,
- Be responsible for requisitioning and distribution of offering envelopes.
- Provide financial information and be available to assist the Finance Review Committee in the performance of the annual review.
- Monitor and maintain legal information on the laws governing nonprofit organizations.
- Submit an annual board budget request in the form and at the time requested.
Article XV: The Board of Church Properties
The Board of Church Properties shall consist of at least three (3) and no more than five (5) members, including the elected Director of the Board.
The basic objectives of this Board are the proper maintenance and repair of church property, the representation of the congregation in all legal matters, and the general protection of the congregation against loss or damage of whatever nature.

- Make an annual inspection of church properties and equipment and recommend to the Voter’s Assembly needed repairs, improvements, or replacements.
- Conduct an annual inventory of all church properties, equipment, and supplies, including acquisition date and approximate value of each item.
- Carry out all resolutions of the Voter’s Assembly on purchases, repairs, replacements of church property and equipment.
- Determine and engage, with congregational approval, adequate custodial help. The Board shall also meet periodically with custodians to discuss the care of the buildings, needs and problems in custodial service, and the like.
- Prepare for the custodial help a detailed list of the required daily and weekly, monthly or annual maintenance of the facilities and equipment for the congregation.
- Annually review and recommend salaries for all custodial help.
- Determine and establish, with the approval of the Voter’s Assembly, regulations, policies, and fees governing the use of church property and equipment.
- Receive, coordinate and approve requests for the use of the congregation’s facilities for wedding receptions, recreational activities by various groups and all other activities of whatever nature.
- Make and issue keys for church property, and keep and review annually a list of the keys issued.
- Supervise, control, and recommend adequate storage facilities for all church property, equipment and supplies and the orderly maintenance of the same.
- Annually check the adequacy of all types of insurance for church property and equipment and negotiate insurance contracts.
- Check all property twice a year for fire hazards.
- Enlist work crews for special repair, improvement, cleaning, painting, decorating, landscaping and other projects.
- Arrange for immediate repairs of an urgent nature and all normal repairs and alterations for which budget funds have been allocated.
- Obtain legal information necessary for the wise consideration of contracts, deeds, and the like by the congregation.
- Negotiate service contracts for the organ, office machines, and the like.
- Make an annual inventory of official documents in safekeeping, and enter its completion in the official minutes of the congregation.
- Together with the elected President and Treasurer, can sign official documents and contracts that have been negotiated and approved by the congregation.
- Submit an annual budget request in the form and at the time requested by the Board of Finance.
Article XVI: The Board of Fellowship/Public Relations
The Board of Fellowship/Public Relations shall consist of at least three (3) and no more than five (5) members, including the elected Director of the Board.
The basic objectives of this Board are the strengthening of the fellowship between congregation members spiritually and socially, the integration of new members into the life of the congregation, the general up building of mutual cooperation, trust, and enjoyment among the members of the congregation, involving all the people of the congregation in the work of Christ, providing for their spiritual growth and nurture, and promoting genuine Christian fellowship for all the people of the congregation.
The general integration of the congregation’s work into the life of the community through the presentation to the public of a Christian image which will reflect favorably upon the work of Christ and of the congregation as His instrument, and the publicizing of the work of the congregation through various channels. That the objectives of this Board may be carried out, the Board, either corporately or through specifically designated individuals, shall:
The basic objectives of this Board are the strengthening of the fellowship between congregation members spiritually and socially, the integration of new members into the life of the congregation, the general up building of mutual cooperation, trust, and enjoyment among the members of the congregation, involving all the people of the congregation in the work of Christ, providing for their spiritual growth and nurture, and promoting genuine Christian fellowship for all the people of the congregation.

That the objectives of this Board may be carried out, the Board, either corporately or through specifically designated individuals, shall:
- Responsible for planning and overseeing gatherings of the congregation, including carry in and potluck dinners from time to time through the year which will further the goals of the congregation. Maintain the expendable items used, such as coffee, condiments, drink mix, cups (hot and cold), napkins, plates, bowls, and plastic dinnerware.
- Responsible for the Sunday morning coffee fellowship. Recruit volunteers to make and or bring the refreshments and be responsible for setup and cleanup.
- Assist with the integration of new members and their families into the spiritual life of the congregation through Worship, Bible studies, Societies, Auxiliaries, service opportunities, and the like.
- Assist in making the visitors feel welcome in our midst.
- Keep the congregation informed of social, political and economic mission and ministry opportunities within the community.
- Develop and implement plans to enhance the congregation's role in the community and develop useful means of becoming a better servant to the community.
- Provide for the continuing spiritual growth of all the people of the congregation through social fellowship, Bible study, prayer, and Christian service.
- Promote the fellowship and interaction of special groups with other like groups within the circuit, district and synodical level of the LCMS.
- Assist the Board of Evangelism in training and involving all the people of the congregation in bringing others to faith in Christ.
- Together with other concerned boards, decorate for special seasons, maintain the church bulletin boards, indoors and outdoors, and recommend appropriate messages and themes for display.
- Establish and maintain a continuing program of publicity for the congregation and its activities which will reflect favorably on the congregation and its commitment to the Gospel of Jesus Christ and the doctrine of the Lutheran Church Missouri Synod.
- Submit an annual budget request in the form and at the time requested by the Board of Finance.
Article XVII: Amendments
Amendments to the provisions of these Bylaws shall be submitted in writing at a properly convened meeting of the Voter’s Assembly and announced to the congregation by public posting two weeks prior to the meeting at which the proposed amendment will be acted upon. A two-thirds affirmative vote of the voters present shall be required for adoption. Amendments may be presented for adoption provided that;
- The revised Bylaws shall first be submitted to the president of the district for review and approval by the district’s constitution committee before being placed into practice by the congregation.
- Notice that action will be taken on proposed amendments shall be provided to all voting members two weeks prior to the voter’s meeting when the proposed action will be discussed and a vote taken.
